Conditions

We agree to the following conditions:

  1. Financial Information Disclaimer
    By signing this agreement, we acknowledge that this does not entitle us to receive financial information about any business. For financial information, we will contact our SBX Business Broker.
  2. Confidentiality
    Any information provided by SBX Business Brokers (the Agent) is given in strict confidence. We agree not to disclose this information to any third party without the Agent's prior written consent.
  3. No Direct Contact
    We agree not to contact or speak directly to the business owners or staff unless an appointment is arranged by the Agent. All negotiations regarding the purchase of any business must be conducted exclusively through the Agent.
  4. Acknowledgement of Introduction
    We acknowledge that SBX Business Brokers has introduced us to the nominated businesses. We agree not to take any action that may affect the Agent's entitlement to commission. We further agree that all subsequent businesses introduced or requested are subject to these same conditions.
  5. Commission and Payment Term
    Should we proceed with the purchase of a business introduced by the Agent, we agree to make all deposit payments payable to SBX Management Pty Ltd Trust Account. If we request the Agent to provide or research information on other businesses not yet under an Agency Agreement, we agree to ensure that the purchase price includes the Agent's commission at a figure agreed between the Agent and the vendor. If such an arrangement cannot be made, we agree not to proceed with the purchase.
  6. Independent Verification and Due Diligence
    The purchaser is responsible for independently verifying all information provided. SBX Business Brokers, the vendor, and their representatives make no warranties or guarantees, and the purchaser should not rely solely on this communication. All business purchases should be based on the purchaser's own due diligence with their accountant. All legal matters, including leases and franchise agreements, should be reviewed by the purchaser's own lawyer.
